Website Project Terms

These Website Project Terms apply to website design, website development, website redesign, website rebuild, website migration and other fixed-scope website projects provided by Infinity3 Ltd. These terms apply in addition to Infinity3 Ltd’s Standard Terms & Conditions. In the event of any conflict, these Website Project Terms take precedence in relation to website project work.
By accepting a proposal for a website project, the Client confirms they have read, understood and agreed to these Website Project Terms.
1. SCOPE OF WEBSITE PROJECTS
1.1 A website project includes only the work explicitly described in the accepted proposal.
1.2 Any functionality, content, integrations, revisions, or services not expressly listed in the proposal are out of scope.
1.3 Requests outside the agreed scope may require a revised quote, additional invoice, or agreement to proceed at an hourly rate.
1.4 Infinity3 Ltd is not responsible for assumptions made by the Client where functionality or features are not explicitly included in the proposal.
2. PROJECT COMMENCEMENT AND DEPOSIT
2.1 A website project will not commence until the required deposit has been paid in full.
2.2 The standard deposit is 50 percent of the total project cost unless otherwise stated in the proposal.
2.3 Deposits are non-refundable once work has commenced.
3. PROJECT TIMELINES AND ESTIMATES
3.1 Project timelines are estimates only and are dependent on timely feedback, approvals and provision of required materials by the Client.
3.2 Delays caused by the Client may result in revised timelines and rescheduling of work.
3.3 Infinity3 Ltd is not responsible for delays caused by third parties including hosting providers, domain registrars, software vendors, or content suppliers.
4. FINAL BALANCE AND PROJECT DURATION
4.1 The Client acknowledges that website projects may extend beyond estimated timelines due to feedback cycles, scope changes, or delays in approvals or materials.
4.2 Where a website project extends beyond the estimated timeline for any reason, the final balance will become due on the earlier of:
(a) the date the website is launched, or
(b) four months from the Project Start Date.
4.3 Once the final balance becomes due, no further work will be scheduled until payment has been received in full unless otherwise agreed in writing.
4.4 The obligation to pay the final balance is not dependent on the level of usage of the website by the Client.
5. CLIENT RESPONSIBILITIES
5.1 The Client is responsible for supplying all required content, assets and access necessary to complete the project.
5.2 This may include written copy, images, logos, branding assets, domain access, hosting access, third party credentials and approval sign-off.
5.3 The Client warrants that they own, or have permission to use, all materials supplied and will indemnify Infinity3 Ltd against any claims arising from their use.
5.4 Where the Client fails to provide required materials for more than twenty one consecutive days, Infinity3 Ltd may invoice for work completed to date and reschedule remaining work based on availability.
6. CONTENT AND COPY
6.1 Unless explicitly included in the proposal, Infinity3 Ltd does not provide copywriting services.
6.2 Any content supplied by the Client will be used as provided. Infinity3 Ltd is not responsible for accuracy, legality, or compliance of Client-provided content.
6.3 Where content is generated or adapted by Infinity3 Ltd, it is the Client’s responsibility to review and approve it before launch.
7. DESIGN AND REVISIONS
7.1 Website design is subjective. Infinity3 Ltd will design in line with the agreed brief, examples and scope.
7.2 The proposal may include a defined number of revision rounds. Additional revisions may be chargeable.
7.3 Revision requests must be reasonable and within the agreed scope.
7.4 Revisions do not include complete redesigns or changes in direction unless otherwise agreed.
8. THIRD PARTY SOFTWARE AND SERVICES
8.1 Website projects may rely on third party software, plugins, themes, or services.
8.2 Infinity3 Ltd does not guarantee the ongoing availability, compatibility, or performance of third party products.
8.3 Any third party fees are the responsibility of the Client unless explicitly included in the proposal.
8.4 Changes to third party software may affect website functionality and may require additional work outside the original scope.
9. TESTING AND APPROVAL
9.1 Infinity3 Ltd will provide the Client with an opportunity to review the website prior to launch.
9.2 The Client must notify Infinity3 Ltd in writing of any issues within seven days of review access being provided.
9.3 If no issues are reported within this period, the website will be deemed approved.
9.4 Once approved or deemed approved, the website cannot be rejected and the project will be considered complete.
10. LAUNCH AND HANDOVER
10.1 Infinity3 Ltd will not launch a website until all invoices due for the project have been paid in full.
10.2 Launch includes deploying the website to the live environment and performing basic functionality checks.
10.3 Post-launch support is limited to resolving launch-related issues unless a Website Care Plan has been purchased.
10.4 Responsibility for ongoing updates, security and maintenance transfers to the Client unless a Care Plan is in place.
10.5 Any post-launch issues caused by third party plugins, hosting environments, or client changes are outside the scope of the project.
11. CHANGES AFTER COMPLETION
11.1 Any changes requested after project completion are outside the scope of the project and may be chargeable.
11.2 Infinity3 Ltd is not responsible for changes made by the Client or third parties after completion.
11.3 Repairs required due to third party changes may be charged at the prevailing hourly rate.
12. CANCELLATION OF PROJECTS
12.1 The Client may cancel a website project at any time by providing written notice.
12.2 In the event of cancellation, the Client will be invoiced for all work completed to date and for time allocated that cannot reasonably be reallocated.
12.3 Deposits are non-refundable.
12.4 Where significant progress has been made, the Client may be liable for the full project fee.
13. OWNERSHIP AND LICENSING
13.1 Upon full payment of all invoices, the Client will be granted a licence to use the website as delivered.
13.2 Ownership of third party software remains with the respective licensors.
13.3 Infinity3 Ltd retains ownership of proprietary code, frameworks and processes unless otherwise agreed in writing.
13.4 Infinity3 Ltd may display the completed website in its portfolio and marketing materials.
14. LIMITATION OF LIABILITY
14.1 Infinity3 Ltd does not guarantee that a website will be error-free, uninterrupted, or meet all subjective expectations.
14.2 Infinity3 Ltd is not liable for indirect losses including loss of revenue, loss of data, or business interruption.
14.3 Liability is limited in accordance with the Standard Terms & Conditions.
15. GOVERNING LAW
15.1 These Website Project Terms are governed by the laws of England and Wales.
15.2 The courts of England and Wales have exclusive jurisdiction over any disputes arising from these terms.
